- The following is a legal agreement between you and Asia Images Group Pte Ltd (“Asia Images
Group”). Please read this Agreement carefully before purchasing and using any Asia Images
Group Images (“Images”) from the Asia Images Group web site or the web site of our
authorized distributors.
- For the purpose of this Agreement, Image means any photographic image, illustration, or other
visual or auditory representation delivered in any format.
- The Images and our web site are copyrighted. Asia Images Group and our suppliers own all
rights. All rights not specifically granted to you by this Agreement are reserved by Asia Images
Group.
- Your right to use an Image is subject to the restrictions described in this Agreement, and is
conditioned upon your payment of the purchase price for the Image prior to your use of a Image
and your compliance with the terms of this End-User License Agreement.
- By this Agreement, Asia Images Group grants to you a non-exclusive, non-transferable right to
use, publicly display and reproduce purchased Images from the Asia Images Group web site in
strict accordance with this Agreement.
- “Non-transferable”, as used in Paragraph 5, means that the work you produce using an Image
must be for your own use, or for the use of your direct employer, client, or customer, who must
be the end-user of your work.
- The use of the Image is subject to the following restrictions:
- The Product may not be sublicensed, resold or otherwise made available for use or
distribution separately or detached from a product or web page.
- Use as a trademark or service mark is not permitted.
- The Image may not be placed on any electronic bulletin board, or on-line in a
downloadable format, or used on a website at a resolution higher than 72dpi.
- You may not include the Image in any electronic template or application, including those
which are web based, where the purpose is to create multiple impressions of an
electronic or printed product, including but not limited to website designs, presentation
templates, electronic greetings cards, business cards or any other electronic or printed
matter.
- You may not provide or permit any of your clients, employers or customers to use the
Image by way of a service bureau, application service provider or time share.
- You agree to take all commercially reasonable steps to prevent third parties from
duplicating or distributing the Images.
- You may not place the Image on computer or other storage device that is accessible by
more than one user at a time via a network connection, wireless interface, or otherwise
where the purpose is the exchange of Asia Images Group files or any other copyrighted
material.
- You also agree not to apply for any intellectual property rights (including copyright or
patent rights) in respect of the Image. You will not attack or attempt to invalidate any of
Asia Images Group’s intellectual property rights in the Image.
- Use of the Image in any pornographic, racist, sexist, obscene, discriminatory, hate or
other unlawful material, program or application is prohibited.
- You agree to indemnify and hold Asia Images Group harmless against any damages or liability
or any kind arising from any use of the Images other than the uses specifically permitted by this
Agreement.

- Neither Asia Images Group, nor any of its directors, officers, employees, partners, licensors, or
agents shall be liable for any indirect, consequential, punitive, or incidental damages arising out
of the use of, or the inability to use an Image, even if Asia Images Group has been advised of
the possibility of such damages or any economic loss, interruption or loss of service or loss of
data in any system or application in which the Image is used.
- In no event shall Asia Images Group’s liability (whether in tort, contract, or otherwise) arising out
of or relating to your use of the Images or inability to use the Images exceed the fees paid by
you for the licence of the Images(s).
- THE IMAGE IS PROVIDED “AS IS” AND ASIA IMAGES GROUP HEREBY DISCLAIMS ALL
WARRANTIES, EXPRESS OR IMPLIED, OF FITNESS FOR ANY PARTICULAR PURPOSE,
NON-INFRINGEMENT, AND MERCHANTABILITY. SHOULD THE IMAGE NOT FUNCTION
ACCORDING TO YOUR WISHES, ASIA IMAGES GROUP’S ONLY RESPONSIBILITY AND
LIABILITY UNDER THIS WARRANTY, AND YOUR SOLE AND EXCLUSIVE REMEDY WILL
BE FOR ASIA IMAGES GROUP TO, AT ASIA IMAGES GROUP’S SOLE DISCRETION,
PROVIDE YOU WITH ANOTHER COPY OF THE IMAGE, OR REFUND YOUR MONEY.
- In the event that one portion of this Agreement is unenforceable, the remainder of the
Agreement will remain in full force.
- No amendment to this Agreement will be binding unless signed in writing by both parties.
- This constitutes the entire agreement between us and it supercedes any previous discussions
or correspondence.
- We may change the terms of this Agreement by providing you with notice of the change 14 days
in advance. The change may be posted on our web site. This will be deemed sufficient to notify
you of the change.
- This Agreement shall automatically terminate upon failure by you to comply with its terms.
- This Agreement shall be governed by the laws of the Republic of Singapore.
